1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of this website at lodus.io (the "Site"), operated by Lodus, LLC ("Lodus," "we," "our," or "us"). By accessing or using the Site, you agree to be bound by these Terms.
If you do not agree, you must not use the Site. Our Privacy Policy also applies.
2. Website Scope
The Site provides information about our services and permits inquiry, support, and meeting-request submissions. Separate written agreements govern paid services, deliverables, timelines, and commercial terms.
3. Acceptable Use
You agree not to use the Site or any connected systems in a way that, in our reasonable discretion:
Violate any applicable law or regulation.
Interfere with Site operation, security, performance, or availability.
Upload malware, run abusive automation, scrape at abusive rates, or attempt unauthorized access.
Submit false, deceptive, infringing, or otherwise unlawful content.
Use the Site to transmit abusive traffic patterns, denial of service activity, or other disruptive behavior.
4. Intellectual Property
The Site, including its text, graphics, branding, software, and layout, is owned by Lodus or its licensors and is protected by intellectual property laws. Except as permitted by law, you may not copy, reproduce, distribute, modify, or create derivative works from Site content without prior written permission.
5. User Submissions
If you submit information through forms or email, you represent and warrant that you have the right to provide that information. You remain solely responsible for your submissions and for ensuring that they are lawful, accurate, and non-infringing.
6. Third-Party Links and Services
The Site may link to third-party websites or services. We are not responsible for the content, security, or practices of third-party properties, and your use of those services is at your own risk. Links do not imply endorsement or control by Lodus.
7. Compliance and Sensitive Data Notice
The Site is not designed for regulated sensitive-data workflows. Do not submit protected health information, payment card numbers, or other highly sensitive regulated data through public website forms unless we have expressly agreed in writing to handle that category of data under a separate signed agreement.
8. Disclaimer of Warranties
THE SITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, LODUS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant uninterrupted operation, error-free performance, or complete security.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LODUS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL ARISING FROM OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LODUS'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100).
TO THE EXTENT PERMITTED BY LAW, ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE MUST BE BROUGHT WITHIN ONE (1) YEAR AFTER THE EVENT GIVING RISE TO THE CLAIM.
10. Indemnification
You agree to indemnify and hold harmless Lodus and its officers, employees, and agents from claims, liabilities, damages, and costs (including reasonable attorneys' fees) arising out of or relating to your use of the Site, your submissions, or your violation of these Terms or applicable law.
11. Governing Law and Jurisdiction
Any controversy or claim arising out of or relating to these Terms or your use of the Site, including claims based on tort, is governed by the substantive laws of the State of Ohio, without regard to conflict-of-law rules.
Any suit, action, or proceeding concerning these Terms must be brought in a state or federal court of Ohio. You irrevocably consent to the exclusive jurisdiction of those courts and, to the fullest extent permitted by law, waive objections to venue or inconvenient forum in those courts.
12. Force Majeure
We are not liable for delay or failure in performance caused by events beyond our reasonable control, including natural disasters, labor disputes, acts of war or terrorism, major network outages, or third-party infrastructure failures.
13. Severability and Waiver
If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect. A failure to enforce any provision is not a waiver of the right to enforce it later.
14. Changes to These Terms
We may update these Terms from time to time. Updated Terms become effective when posted on this page with a revised effective date. Your continued use of the Site after updates are posted constitutes acceptance of the revised Terms.
